Master Services Agreement

Last updated September 2026. This agreement covers the general terms of any telecommunications, security, network cabling, IT, or audio/visual project Hiscall, Inc. performs for you. Your signed proposal or work order describes the specific project and pricing; this page covers the rest.

1. Scope of services

Hiscall provides the services described in your signed proposal, quote, or work order, which is incorporated into this agreement by reference. That may include telecommunications and phone systems, security solutions, network cabling, IT services and data networking, or audio/visual systems, depending on what you've engaged us for. Any change to that scope, timeline, or pricing gets documented in writing before we act on it, whether that's a new proposal or a simple change order.

2. Emergency calling (911)

If your project includes a hosted or cloud-based phone system, it's built to support direct dialing to 911, consistent with FCC requirements for these systems. Keeping your registered service address current matters for this to work correctly, especially if you move a phone or an office to a different physical location without telling us. Like any phone service, 911 calling through the system can be affected by a power outage or an internet outage at your location; if your system includes battery backup or cellular failover, that's noted in your proposal.

3. Term and changes

Ongoing services are billed monthly by default unless your proposal says otherwise, and continue until either party ends them under Section 9 below. One-time projects, like a cabling installation or a security system build-out, are complete once the work described in your proposal is finished and accepted. Equipment we provide is licensed or sold for use with the services we deliver, not for resale, and shouldn't be tampered with or used outside its intended purpose. If you disconnect a service tied to a phone number you'd like to keep, let us know in advance so we can help coordinate the transfer.

4. Charges, payment, and taxes

Invoices are due under the terms stated on the invoice itself; unless your proposal says otherwise, that's within 30 days of the invoice date. Past-due balances may accrue interest at the maximum rate Tennessee law allows. If you dispute a charge, tell us in writing before the due date so we can look into it together rather than after the fact. You're responsible for any applicable sales tax, telecom regulatory fees, or similar charges tied to your services, and we may suspend service for an account that stays unpaid after reasonable notice.

5. Equipment

Title to any equipment you purchase from us transfers once it's paid in full. If equipment is damaged during shipping to your location, let us know right away so we can help resolve it with the carrier or manufacturer. Equipment issues should be reported within 30 days of delivery; after that, a restocking fee may apply to a return. Manufacturer warranties pass through to you as the equipment owner, and the labor and installation warranty period for your specific project is stated in your proposal.

6. Limitation of liability and warranties

We perform our services in a professional and workmanlike manner consistent with industry standards. Beyond what's expressly stated here or in your proposal, we don't make other warranties, implied or otherwise, about the services or equipment. Our liability for any claim related to your services is limited to the amount you've paid us for that specific service in the twelve months before the claim, and we're not liable for indirect, incidental, or consequential damages such as lost revenue. You agree to hold us harmless for claims that arise from your own misuse of the systems we provide.

7. Privacy and data

Our privacy policy covers how we handle information generally. For anything your own systems capture, like security camera footage or call recordings, we handle that data on your instructions as your service provider. It's your data, kept and used the way you direct, not something we own, sell, or use for our own purposes. Where the systems we provide involve Customer Proprietary Network Information under FCC rules, we protect it the same way, see the privacy policy for the details.

8. Dispute resolution

This agreement is governed by Tennessee law. If a disagreement comes up, we'd rather work it out directly first. If that doesn't resolve it, either party can bring the matter to the state or federal courts located in Tennessee.

9. General

Notices under this agreement should go to the contact address or email either party has on file. We may update these general terms with 30 days notice for services going forward; changes don't apply retroactively to work already completed. This agreement isn't assignable by you without our consent. If any part of this agreement turns out to be unenforceable, the rest of it still stands. Together with your signed proposal, this is the complete agreement between you and Hiscall, Inc. for the services described in it.
